Samsung and SK Hynix CEOs Face Complaints Over Performance Bonus Approval; Police Investigate

A Korean shareholder group has filed complaints against Samsung Electronics co-CEOs Jun Young-hyun and Roh Tae-moon, and SK Hynix CEO Kwak Noh-jung, alleging breaches of fiduciary duty related to performance bonuses negotiated with labor unions. The group argues that bonuses of this scale should have received shareholder approval and questions formulas tied to operating profits. Gyeonggi Nambu Provincial Police are reviewing the cases. Samsung’s May agreement reportedly provides a semiconductor special bonus equal to 10.5% of operating performance gains, while SK Hynix allocates 10% of its semiconductor division’s operating profit through a profit-sharing system. No wrongdoing has been established.
